1. Acceptance of Terms

These Terms and Conditions (“Terms”) govern your access to and use of the CBFINU token sale platform at ico.cbfinu.com (“Site”) and related services. By accessing or using the Site, connecting a wallet, or participating in any sale, you acknowledge that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy.

2. Eligibility

You must be at least 18 years old and have full legal capacity to enter into these Terms. You represent and warrant that you are not a resident, national, or entity located in any jurisdiction where participation in token sales is restricted or prohibited, including jurisdictions subject to comprehensive sanctions. You are responsible for ensuring that your participation complies with applicable laws and regulations in your jurisdiction.

3. Token Nature; No Investment Advice

CBFINU (CBF) is an ERC-20 utility memecoin. Tokens do not represent equity, debt, or other securities, and do not grant ownership, revenue share, dividends, voting rights, or any equivalent rights. Nothing on the Site constitutes financial, legal, or tax advice. You should conduct your own research and consult professional advisors before participating.

4. Sale Phases, Pricing and Listing

The token sale is organized in phases: Presale, Private Sale, and six ICO rounds. Each phase is scheduled to run for 15 days. Indicative phase pricing and distribution are disclosed on the Site. The current plan targets a listing price of $0.001 per CBF; this is indicative and subject to market conditions and third-party decisions. Exchange listings are not guaranteed and are outside our control.

5. Contributions and Payments

• Contributions are made on-chain via supported assets as indicated on the Site. Network (gas) fees apply and are borne by you.
• Amounts, conversion rates, and token allocations are determined by the smart contracts and Site display at the time of your transaction (subject to network conditions and final on-chain settlement).
• You are responsible for using a compatible, self-custodial wallet and ensuring the accuracy of the target network and contract addresses.

6. Finality; No Refunds

All on-chain transactions are final and irreversible. Except where required by law, we do not offer refunds, reversals, or cancellations once a transaction is confirmed on the blockchain.

7. Wallets and Security

You control and are solely responsible for your wallet, private keys, seed phrases, and devices. Loss or compromise of your credentials may result in loss of tokens or funds, for which we are not responsible. Always verify contract addresses and URLs before transacting.

8. KYC/AML and Sanctions

We may require identity verification (KYC) and perform anti-money laundering (AML) checks as permitted or required by law. We may refuse, suspend, or cancel participation if you fail KYC/AML checks, provide inaccurate information, or appear on sanctions or watch lists. We may disclose information to competent authorities where legally obligated.

9. Taxes

You are solely responsible for determining and fulfilling any tax obligations arising from your participation, including reporting and payment of income, capital gains, VAT, or other taxes. We do not provide tax advice.

10. Prohibited Conduct

• Using the Site for unlawful activities, fraud, money laundering, or terrorist financing.
• Interfering with or disrupting the Site, smart contracts, or related networks.
• Circumventing technical measures, rate limits, or participation restrictions.
• Impersonating others or misrepresenting your affiliation with any person or entity.

11. Intellectual Property

The Site, brand names, logos, designs, text, graphics, and content are owned by CBFINU or its licensors and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without prior written consent.

12. Third-Party Services

The Site may link to or integrate third-party services (e.g., wallets, KYC providers, analytics, exchanges). We do not control and are not responsible for third-party content, services, or policies. Your use of third-party services is at your own risk and subject to their terms.

13. Risks Disclosure

Participation involves significant risks, including but not limited to: market volatility and loss of value; smart contract bugs; network congestion, transaction delays or failures; slippage; regulatory changes; listing and liquidity risks; cyber-attacks or key compromise; and permanent loss due to user error. You accept these risks by participating.

14. Burns and On-Chain Mechanics

Token burns tied to Brazilian National Team goals and victories are executed according to published mechanics and smart contract logic. Burn amounts and timing depend on external events and network conditions and are not guaranteed. On-chain records are authoritative.

15. Changes; Suspension; Termination

We may modify the Site, sale parameters, or these Terms at any time. Material changes will be posted on the Site with an updated effective date. We may suspend or terminate access to the Site or sale participation for maintenance, security, legal, or compliance reasons.

16. Governing Law and Disputes

These Terms are governed by the laws of the jurisdiction to be designated by CBFINU. Disputes shall be resolved in the competent courts or through arbitration seated in the designated jurisdiction.

17. Miscellaneous

• Severability: If any provision is found invalid, the remaining provisions remain in full force.
• No Waiver: Failure to enforce any right does not constitute a waiver.
• Entire Agreement: These Terms and the Privacy Policy constitute the entire agreement regarding the Site and token sale.
• Assignment: We may assign our rights and obligations; you may not assign without our consent.
• Force Majeure: We are not liable for delays or failures caused by events beyond our reasonable control.
